1. Introduction

These Terms of Service ("Terms") govern your use of the Animalia application, website, and related services ("the App"), operated by Animalia Ltd ("we", "us", "our").
By creating an account or using the App, you agree to these Terms. If you do not agree, do not use the App.

2. Description of the Service

Animalia is an animal management and record-keeping platform for maintaining breeding, health, and performance data.
Certain features are free; others require a paid subscription.
We may later offer access to a separate marketplace operated by Animalia Ltd or its affiliates, which will have its own terms.

3. Accounts

Eligibility: You must be at least 18 years old or legally able to enter contracts.

Account information: You must provide accurate, up-to-date details.

Security: You are responsible for your login credentials and for activity under your account. Notify us immediately of unauthorised use.

Termination: You may cancel at any time. We may suspend or terminate accounts for misuse or breach of these Terms.

4. Subscriptions and Payments

Plans: We offer Free, Basic, and Business tiers (names and limits may change).

Auto-renewal: Subscriptions renew automatically unless cancelled before renewal.

Cancellations & Refunds:

Annual plans cancelled early are charged at the monthly rate for time used; any balance is refunded.
No partial-month refunds for monthly plans.

Taxes: Prices include any applicable New Zealand taxes unless stated otherwise.

Payment Processing: Payments are handled by secure third-party processors; we do not store full card details.

5. Data and Privacy

Storage: Your data is stored securely on AWS servers and also cached on your device for offline use.

Ownership: You own the data you enter. We only process it to provide and improve the service.

Privacy Policy: Our Privacy Policy explains how we collect and use personal information.

Backups: While we use reasonable safeguards, users are responsible for maintaining independent backups.

6. Fair Use Policy

To ensure reliability for all users:

You must not place excessive or automated load on the system.
Bulk data uploads, scraping, or misuse of storage may result in suspension.
We may set reasonable usage thresholds for data volume, device count, or API calls within each plan.
We will contact you before taking any corrective action where practical.

7. Acceptable Use

You agree not to:

Use the App for unlawful, abusive, or fraudulent activity;
Interfere with security, performance, or other users' access;
Copy, resell, or redistribute access;
Misrepresent data ownership or animal details.

8. Service Availability and Changes

We aim for high reliability but cannot guarantee uninterrupted service.
We may modify or discontinue features with reasonable notice.

9. Intellectual Property

All software, design, text, and logos in the App are owned or licensed by Animalia Ltd.
You may not copy or modify them except as necessary for normal use.

10. Disclaimers and Liability

The App is provided "as is" and "as available."

To the fullest extent allowed by New Zealand law, we exclude implied warranties of fitness or merchantability.
We are not liable for indirect or consequential loss, including loss of data or profits.
Our total liability will not exceed the fees paid in the 12 months preceding the claim.
Nothing in these Terms limits your rights under the Consumer Guarantees Act 1993 or Fair Trading Act 1986.

11. Indemnity

You agree to indemnify Animalia Ltd against claims or expenses (including legal costs) arising from your breach or misuse of the App.

12. Governing Law

These Terms are governed by the laws of New Zealand, and disputes are subject to the non-exclusive jurisdiction of New Zealand courts.

13. Updates

We may revise these Terms occasionally. Updates take effect upon posting unless stated otherwise. Continued use means acceptance of the new Terms.
